What are steps to follow to set up company in Vietnam and comply with the laws?

With the promulgation of the enterprise law, the business setting up process has been adjusted with many favorable regulations for investors.  However, in order for a business to start up and comply in operation, the following basic steps should be noted:

The first step is to set up company in Vietnam. To take this step, the investor first needs to determine the type of business to choose to establish and provide the business name and expected information. Accordingly, the composition of the enterprise establishment dossier will be prepared according to regulations and submitted at the Business Registration Office, the Department of Planning and Investment of the place where it is expected to be headquartered. After submitting a valid application, the enterprise will be granted an enterprise registration certificate and announced the registration contents on the National Business Registration Portal.

The second step is to publish the contents of business registration. After being granted an enterprise registration certificate, an enterprise must make a public announcement on the National Business Registration Portal.

In the third step, the enterprise conducts stamp engraving. Enterprises can request to make a seal from the seal making agent. Accordingly, the enterprise actively decides on the type, quantity, form and content of the seal and is solely responsible for the use of its legal entity seal.

Fourth step is that to open a bank account in Vietnam. Currently, businesses can choose a bank to open an account for their business, to open an account, the bank requires an application form issued by the bank, a seal sample, the company’s charter, and a certificate. Business registration and related documents are required by different bank.

The fifth step is to register the tax declaration form in Vietnam. Accordingly, enterprises register for the use of e-invoices and notify the use of e-invoices to their tax authorities. Enterprises need to contact the invoice supplier to order the printing of value-added invoice books and must register self-printed invoices with tax authorities.

In the sixth step, the enterprise needs to conduct labor registration in Vietnam. Enterprises register with the Department of Labor, War Invalids and Social Affairs to declare the use of labor. Within 30 days from the date of commencement of operation, the employer must register the employer to the Labor Department (according to the prescribed form). In addition, enterprises should note that the relationship between the employer and the employee is regulated by the Labor Code and specified in the labor contract.

Seventh step is to register for social insurance in Vietnam. Enterprises register with the Social Insurance Agency to pay health insurance and social insurance for employees. Employers must fill in all information according to the form provided by social insurance, including: full name, date of birth, salary (recorded in labor contract), number of social insurance book (for employees who have been issued with a book), a certified copy of the company’s business registration certificate and a copy of each labor contract.

Set up business in Vietnam or invest in contractual forms?

  Foreign investors could make direct investment in Vietnam through different ways.  They could set up business in Vietnam or invest in the contractual forms of: BCC, BO, BTO, and BT.

Types of enterprise for foreign investors to invest and set up business in Vietnam are as following:

Set-up Limited Liability Company in Vietnam

Limited Liability Company is a form of enterprise which is established by contributing of members.  A member shall be liable for the debts and other property obligations of the enterprise within the amount of capital that it has undertaken to contribute to the enterprise.

Limited liability companies are regulated by two types:

–    One member Limited Liability Company is an enterprise owned by one organization or individual;

–   Limited Liability Company with two or more members is an enterprise owned by organizations or individuals, in which the number of members shall not less than two members and not exceed fifty.

Organizational and management structure of Limited Liability Company normally comprise of a Member’s Council, General Director or Director.

Set-up Joint Stock Company in Vietnam

Joint Stock Company is an enterprise which has charter capital divided into equal portions called shares.   The minimum number of shareholders shall be three and there shall be no restriction on the maximum number.

Shareholders shall be liable for the debts and other property obligations of the enterprise only within the amount of capital contributed to the enterprise.

Joint Stock Companies may issue all types of securities to raise funds.  Founding shareholders must together register to subscribe at least twenty per cent (20%) of the number of ordinary shares which may be offered for sale.

The main difference between Joint Stock Company and Limited Liability Company is the Joint Stock Company can raise funds by offering shares or securities.  In addition, an enterprise tends to join the Stock exchanges or public company must be a Joint Stock Company. Management system of Joint Stock Company is more complicated than Liability Company.

Set-up Partnership in Vietnam

A partnership is an enterprise which must be at least two members being co-owners of the company jointly conducting business under one common name.  In addition to unlimited liability partners, there may be limited liability partners.

Unlimited liability partners must be individuals who shall be liable for the obligations of the company to the extent of all of their assets.  Limited liability partners shall only be liable for the debts of the company to the extent of the amount of capital they have contributed to the company.

Set-up Representative Office of Foreign Trader in Vietnam

A foreign business entity or a foreign trader is allowed to establish Representative Office in Vietnam.

Representative office of a foreign business entity in Vietnam (referred as “Representative Office”) means a subsidiary unit of the foreign business entity, established in accordance with the law of Vietnam in order to survey markets and to undertake a number of commercial enhancement activities permitted by the law of Vietnam.

Representative Office will need to apply and obtain the establishment license; and have a seal bearing the name of the representative office.

Representative Office is not allowed to directly conduct profit making activities in Vietnam (i.e: the execution of contracts, direct payment or receipt of funds, sale or purchase of goods, or provision of services), but the representative Office is permitted to

  • To operate strictly in accordance with the purposes, scope and duration stated in the license for establishment of such representative office;
  • To rent offices and to lease or purchase the equipment and facilities necessary for the operation of the Representative Office;
  • To recruit Vietnamese and foreign employees to work for the Representative Office in accordance with the law of Vietnam;
  • To open accounts in foreign currency and in Vietnamese Dong sourced from foreign currency at banks which are licensed to operate in Vietnam, and to use such accounts solely for the operation of the Representative Office.

Set-up Branch of Foreign Trader in Vietnam

The Branch of a foreign business entity in Vietnam (referred as “The Branch”) means a subsidiary unit of the foreign business entity, established in accordance with the law of Vietnam in order to enter into contracts in Vietnam and conduct activities being the purchase and sale of goods and other commercial activities consistent with its license for establishment in accordance with the law of Vietnam and any international treaty to which the Socialist Republic of Vietnam is a member.

The Branch will need to apply and obtain the establishment license; and have a seal bearing the name of the Branch.

The Branch is permitted to conduct activities being the purchase and sale of goods and other commercial activities consistent with its license for establishment in accordance with the law of Vietnam and any international treaty to which the Socialist Republic of Vietnam is a member.

Investment by Signing Contracts in Vietnam

Beside having the options to set up business in Vietnam, investors could also choose to invest by not setting up a new entity.  Business co-operation contract (BCC) means the investment form signed between investors in order to co-operate in business and to share profits or products without creating a legal entity.

Build-operate-transfer contract (BOT) means the investment form signed by a competent State body and an investor in order to construct and operate commercially an infrastructure facility for a fixed duration; and, upon expiry of the duration, the investor shall, without compensation, transfer such facility to the State of Vietnam.

Build-transfer-operate contract (BTO) means the investment form signed by a competent State body and an investor in order to construct an infrastructure facility; and, upon completion of construction, the investor shall transfer the facility to the State of Vietnam and the Government shall grant the investor the right to operate commercially such facility for a fixed duration in order to recover the invested capital and gain profits.

Build-transfer contract (BT) means the investment form signed by a competent State body and an investor in order to construct an infrastructure facility; and, upon completion of construction, the investor shall transfer the facility to the State of Vietnam and the Government shall create conditions for the investor to implement another project in order to recover the invested capital and gain profits or to make a payment to the investor in accordance with an agreement in the BT contract.

Foreign investors may sign BOT, BT and BTO contracts with a competent State body to implement infrastructure construction projects in Vietnam. Typically, the contracts are for projects in the fields of transportation, electricity production, water supply, drainage and waste treatment.

The rights and obligations of the foreign investor will be regulated by the signed BOT, BT and BTO contract. The Government encourages both public- and private-sector investors to participate in BOT, BTO and BT in the following sectors:

(i)  Construction, operation and management of brand-new infrastructure facilities; and

(ii) Renovation, expansion, modernization, operation and management of the existing infrastructure facilities such as:

•     Roads, bridges, tunnels, and ferry landings;

•     Railway bridges and railway tunnels;

•     Airports, seaports and river ports;

•     Clean water supply systems; sewage systems;

•     Wastewater, waste collecting and handling systems;

•     Power plants and power transmission lines;

•     Infrastructure works of health service, education, training, career training, culture, sport and offices of State agencies; and

•     Other projects as may be determined by the Prime Minister

Potential to attract investment when iPhone can be assembled in Vietnam

  iPhone is the name of the smartphone line from Apple – a large American technology corporation. The iPhone is a high-end technology product and is used by many people around the world. Currently, Apple assembles the majority of iPhones in factories located in China, and components are manufactured in India, Thailand, the US and many other places.  The setting up of iPhone manufacturing facilities in Vietnam will attract other investors to set up company in Vietnam.

IHI Corporation (Japan) Wants to Participate in Transportation Projects in Hai Phong

  Japan is a familiar investor in the Vietnamese market, many Japanese companies have set up business in Vietnam and IHI Corporation is not an exception.

Recently, Hai Phong People's Committee has been working with the delegation of IHI Corporation (Japan) to explore opportunities to participate in transportation projects in Hai Phong. Hemaraj (Thailand) Builds Billion-Dollar Industrial Park in Nghe An

  Nghe An - a province located in the central region of Vietnam always has a lot of attractive incentives for foreign investors who come and set up business in Vietnam. In which, Nghe An has a number of solutions to support infrastructure enterprises to quickly implement large-scale industrial parks, including the Hemaraj industrial park – which is preparing to start construction.

According to the plan, at the end of October 2017, Hemaraj industrial park project in the South East Economic Zone will be started construction by Hemaraj Group (Thailand). construction work. The project has a total area of about 3,200 hectares, total registered investment of about 1 billion USD, divided into 7 phases, in which phase I has an area of nearly 500 hectares.

According to leaders of Nghe An province, the provincial leaders are providing maximum support to Hemaraj so that the project can started construction as soon as possible.

Prior to that, in September 2015, a joint venture between Sembcorp Group (Singapore) and Becamex IDC have kicked off the VSIP Nghe An project with an area of 750 hectares. Currently, the project has leveled and built synchronous infrastructure for about 100 hectares of industrial land phase 1A.

More than 90 companies from many countries and territories have come to seek information and investment opportunities at VSIP Nghe An and 10 companies have signed investment commitments with total investment capital of over 400 billion VND. By the beginning of September 2017, some companies was handed over land and started to build the plant.

Vietnam Increases Ranking in The List of Global Competition

  The Global Competitiveness Report 2017 - 2018 was announced on September 26th 2017, confirming that countries are improving in terms of health, education and technology.

The latest global competition list of the World Economic Forum shows a messy picture of Asia, while Vietnam and Indonesia jumped in rank, Japan and India slumped.

Vietnam jumped to 55th place, up 5 steps compared with last year and 20 steps compared with 5 years ago. Accordingly, Vietnam has made remarkable progress in terms of technology and labor market efficiency. Trade is also a key factor that help Vietnam increasing ranking. Specifically, Vietnam is ranking 7th in terms of import ratio against GDP and 11th in export ratio against GDP.

The withdrawal of the US from the TPP may have removed some future trade opportunities of Vietnam, but the report states that "Vietnam’s growth is expected to be sustained, thanks to strong exports activities".

Meanwhile, Indonesia ranked 36th, up from the 41st position of last year. Other Asian countries that also increased in rank are: Malaysia (23rd); China (27th) and Thailand (32nd). The Philippines also rose one step to 56th.

Mavin Pledged to Invest 80 Million USD in Nghe An

  Mavin Group (Australia) has operated in Vietnam for a long time and now they do not hide their ambition to expand investment and set up business in Vietnam.

In February 2017, Mavin Group inaugurated an animal feed production factory in Nghe An. This plant has a total investment of 15 million USD, which is built on an area of 3.6 ha and has a capacity of 300,000 tons per year.

Mavin Group has invested in Vietnam for more than 12 years and now has production facilities in 7 provinces and branches, warehouses in 19 different provinces in the country. However, up to date, Nghe An is the only province that Mavin plans to invest in 4 separate projects with a total investment of 80 million USD.

In addition to the inaugural animal feed factory, Mavin Group plans to deploy 3 more projects in Nghe An.

In April 2017, Mavin Group was granted a license to invest in a 18 million USD hi-tech pig farm, built on an area of ​​100 hectares. Subsequently, the Mavin Group plans to invest in a Veterinary Research Center. At the same time, conducting a feasibility study to invest in a food processing plant that may be launched by 2018. The project has a total investment of 25 million USD, built on an area of ​​5 hectares, capacity of 200,000 tons/year. This factory will produce products made from meat, sausage, ham and other traditional meats... serving the domestic market and exporting to Laos and Cambodia.

According to the Chairman of the group, Mavin Group before making investment decision always consider 6 issues that are: human resources; market; geographic factors; political issues (attention, government support, security...); incentive policy and transparency.

In addition, representatives of the Mavin Group expressed their satisfaction when investing in Nghe An. According to the representative of Vietnam – Singapore Industrial Park (VSIP) in the Central and South regions, recently many local and foreign investors have come to Nghe An seeking investment opportunities.

Previously, in September 2015, VSIP Nghe An was officially started construction with a total area of 750 hectares. After more than a year of land handover, up to now, VSIP Nghe An has now leveled and built complete infrastructure for about 100 hectares of industrial land area in phase 1A. The wastewater treatment system, clean water supply, power supply, fire prevention and protection have been completed and ready to serve investors in production.

More than 90 companies from many countries and territories have come to find out information and investment opportunities at VSIP Nghe An and 10 companies have signed investment commitments with total investment capital of over 400 billion VND. By the beginning of September 2017, some companies have received land handover and started plant construction. In which, the first factory was officially put into operation. It is expected that by the fourth quarter of 2017, two more companies will come into operation, attracting about 1,000 workers.

It is known that VSIP Nghe An is the 7th project that VSIP deployed in Vietnam. Previously, in addition to 2 VSIP projects in Binh Duong, there are projects in Bac Ninh, Hai Phong, Quang Ngai and Hai Duong. Currently, VSIP's projects attract a total of 720 investors from 30 countries and territories with total domestic and foreign investment of 9.2 billion USD, creating jobs for about 180,000 workers.

Macau Casino Group Poured Billions of Dollars into Vietnam

 Sun City is currently the largest casino resort group in Macau, spending billions of dollars investing heavily in casino resorts in Asia and set up casino business in Vietnam.

The group was founded in 2007, owns about 17 VIP clubs and 280 gaming tables, serving Macau's largest betting and casino market as well as VIP clubs in Korea, China and Philippines.

Currently, Sun City operates large casinos with monthly betting up to 130 billion HKD (approximately 17 billion USD). However, in order to expand its business in Asia, Sun City is spending billions of dollars investing in casino real estate projects in Japan and other countries, including Vietnam.

This plan of Sun City kicked off in 2014 with the acquisition of shares and the bid to operate large casinos in many countries.

In Vietnam, a 4 billion USD casino resort project in South Hoi An is underway to build phase 1 with a total investment of 500 million USD with the participation of Sun City. Three partners involved in investing in this billion dollar resort complex are Sun City, Chow Tai Fook (Hong Kong) and Vinacapital.

According to Bloomberg, Sun City owns 34% of the complex through its subsidiary and has acquired the casino management contract of the project.

The South Hoi An project has scale of up to 985.6 ha, the total investment is 4 billion USD. Currently, the phase 1 of the project is expected to develop on an area of about 163 ha, with an investment of nearly 500 million USD, including resort, casino complex, luxury golf course, hotel rooms, luxury apartments and add-ons...

Previously, Sun City has also been eyeing the Vietnam resort market when concerning and want to invest in a casino project in Duong To (Phu Quoc). However, due to the land fund in this area has been licensed to other investors, Sun City wants to replace by Rach Tram, Bai Thom commune.

In 2010, VinaCapital and Genting Berhad of Malaysia were licensed to invest in South Hoi An project, however, due to financial difficulties, in 2012, Genting Berhad unexpectedly withdrew from this project, thus VinaCapital has been continuously seeking for investment cooperation partner. In 2014, Hong Kong billionaire Cheng Yu Tung - the owner of Hong Kong's Chow Tai Fook, a Hong Kong-owned jewelery and real estate group, ranked by Forbes as the fourth richest person in Hong Kong with total assets worth 16.2 billion USD has participated into this project, in partnership with Sun City and VinaCapital.

With the expansion of casino-based real estate business in Vietnam as well as in other countries in the region, Sun City is clearly seeking to become a leading casino corporation in the world, such as Las Vegas Sands or Wynn Resorts.

According to Bloomberg, Sun City's expansion ambitions are planned even when the Macau casino market is growing fast thanks to China's economy recovering and players spending more and more money, with a 20.4% increase in August. Casino revenue in Vietnam is estimated at 1.2 billion USD, according to Grand Govertsen, a Macau-based gaming analyst. Finally, also according to this report, Vietnam now has about 30 gaming establishments with prizes with 1,900 slot machines and 400 tables. With the relationships with VIP customers of Sun City, it is believed that the project will achieve significant ROI.

Foreign investor in Binh Duong

  Korean investors have set up business in Vietnam a lot in the recent years and this country is also the third largest foreign investor in Binh Duong province with 619 projects.

At the meeting between Binh Duong People's Committee and Korean investors held on August 16th, according to reports of Department of Planning and Investment of Binh Duong province on the attraction of foreign direct investment (FDI) in the first six months of 2017, there was positive changes. The total FDI capital reached 1.726 billion USD, equal to 123% of the year plan and increase by 51% over the same period in 2016.

Specifically, there are 97 new projects with capital of 1.034 billion USD, 62 projects adjust and increase capital of 670 million USD. The sectors attracting a lot of investors are electricity, electronics, mechanics, pharmaceuticals, chemicals, trade and services...

Particularly for Korean investors, in six months of 2017, there are 16 new projects and 17 projects adjusted for capital increase. Overall, total investment reached 306 million USD. Accumulated until June 30th, Korea is the third largest foreign investor in Binh Duong (after Taiwan and Singapore) with 619 projects worth 2.694 billion USD.

With the efforts to improve the investment environment, Binh Duong is always attracted by investors, the number of foreign investors coming to the province to explore investment opportunities in the first half of 2017 continued to increase over previous years. FDI attraction results of Binh Duong is a good signal, affirming that the investment environment of the province is very attractive to foreign investors.

Binh Duong currently has 28 industrial parks with an area of 10,560 hectares and 11 industrial clusters with an area of over 802 hectares, occupancy rate reaches over 70%.

Korea Leads FDI in Vietnam

  The flow of FDI capital into Vietnam has continued to grow strongly over the years, demonstrating the confidence of foreign investors when deciding to set up business in Vietnam.

According to data from the Foreign Investment Agency (Ministry of Planning and Investment), the total amount of FDI capital such as new registered, capital increase, capital contribution and share purchase in the first 7 months of 2017 is 21.93 billion USD, increases by 52% over the same period in 2016.

Of these, the new registered capital was 12.92 billion USD, increases by 48.7% over the same period; the added capital was 5.87 billion USD, increases by 38.5% over the same period. The amount of capital that investors spend to contribute capital and buy shares in enterprises in Vietnam is 3.12 billion USD, increases by 109.7% over the same period in 2016.

According to the trend, more and more foreign investors have recently invested in Vietnam through capital contribution and share purchase. An increase of over 109% indicates that. Furthermore, data from the Foreign Investment Agency showed that by July 20th 2017, the FDI projects have disbursed 9.05 billion USD, increase by 5.8% over the same period in 2016. The rate of increasing in FDI capital disbursement is gradually improving compared to the first months of the year.

In the first 7 months of 2017, foreign investors have invested in 18 industries and sectors, of which the manufacturing and processing sectors have attracted the attention of foreign investors, with total capital of 10.83 billion USD, accounting for 49.4% of the total registered capital. The electronic production and distribution sectors ranked 2nd with total investment of 5.25 billion USD, accounting for 23.98% of total investment capital. Standing at the 3rd position is mining sector with total registered capital of 1.28 billion USD, accounting for 5.86% of the total registered capital.

Meanwhile, in terms of partner, Korea ranked 1st with a total investment of 5.62 billion USD, accounting for 25.63% of total investment capital. Japan ranked 2nd with total registered capital of 5.46 billion USD, accounting for 24.92% of total investment capital in Vietnam.

In terms of localities, Thanh Hoa is the most attractive province with the total registered capital of 3.06 billion USD, accounting for 13.9% of total investment capital. Bac Ninh ranked 2nd with total registered capital of 2.95 billion USD, accounting for 13.48% of total investment capital. Nam Dinh ranked 3rd with a total registered capital of 2.2 billion USD, accounting for 10% of total investment capital.

First Solar Re-Launch Billion Dollars Project in HCMC

  First Solar Corporation - one of the US investors have set up business in Vietnam in the field of high technology.

After several years of halt operation, First Solar Corporation (USA) has officially restarted the project of manufacturing solar panel with thin-film technology in Ho Chi Minh City (HCMC).

So far, First Solar’s project (in the Dong Nam Industrial Zone, Cu Chi district, HCMC, investment capital of 1.2 billion USD) is still the only and largest scale project, producing solar panel with thin-film technology in industrial parks and processing zones in HCMC. Therefore, the dynamics of investors involved in this project attracted great attention.

First Solar's contractor has started work for about two months. Vietnam - Russian Federation: Cooperation in The Spirit of Friendship

  There are many opening opportunities, so that the Russian Federation enterprises can come to explore and set up business in Vietnam and vice versa.

Japan has organized an investment promotion conference in Vietnam. In April 2017, a meeting between two leaders of Russia and Vietnam's leading oil and gas corporation that are Gazprom and PVN, took place in Moscow. In which, both sides have continued to discuss on the cooperation to exploit oil and gas in Vietnam, as well as oil and gas projects in Russia.

In fact, Gazprom has participated in the Hai Thach - Moc Tinh gas field project in Vietnam since 2003 and up to now, the total output of this mine has reached about 6.6 billion m3 of gas. In particular, in 2016, the output reached 2 billion m3.

In addition, the two sides also discussed the process of geological exploration in plots 112 and 129 - 132 on the continental shelf of Vietnam, also deployed the project of developing oil - gas - condensate - Nagumanovskoye field and gas field - condensate Severo - Purovskoye in Russia, at the same time discussed the prospect of joint venture cooperation in the field of electrification and transport vehicles using natural gas (NGV). Once these agreements become reality, Vietnam - Russia oil and gas cooperation will be more closely and effectively, opening great investment cooperation opportunities between the two sides.

Opportunities will be even greater when the free trade agreement between Vietnam and the Eurasian Economic Union (includes Russia, Belarus, Kazakhstan, Amenia and Kyrgyzstan) is effectively implemented. Implemented effectively. Although it is just a free trade agreement, the agreement will create a great opportunity for two sides to cooperate and take advantage of each other's markets. This common market block has total GDP of 2,200 billion USD and 183 million people. Moreover, Vietnam and the Eurasian Economic Union have also set target of increasing two-way trade to 10 billion USD by 2020. This is an important basis for investment cooperation between Vietnam and the Russian Federation, as well as other intra-regional economy will be further boosted.

The visit to Belarus and the Russian Federation from June 26th to July 1st 2017 by Vietnam President Tran Dai Quang is expected to create opportunities for further economic and investment cooperation between Vietnam - Russian Federation and Vietnam - Belarus.
