Signs of possible corporate frauds to notice and avoid

  Vietnam has signed many Free Trade Agreements with many countries and regions around the world, which makes international economic exchange easier. However, the expansion of international trade also makes many businesses at risk when they encounter fraudulent customers in their business.

According to the Ministry of Industry and Trade, in 2020, the Trade and Embassy of Vietnam in the a number of countries continuously received invitations to sell, buy goods and sign commercial transaction contracts which have signs of fraud and scams.

Despite many warnings and notices, but due to subjective psychology, high profits, limited foreign trade operations, lack of understanding of customers, difficulties due to epidemics, many businesses cannot directly meeting, checking goods,… using online transactions, which causes businesses to take advantage of fraudulent acts.

Some ways of commercial fraud activities such as: Unpaid delivery; Forging documents even bank papers to get goods; Set the person to get export documents; Using hackers to infiltrate the email addresses of two parties that are having transactions, track the progress of the negotiation, when the buyer prepares to transfer money to buy goods, hack the mailbox (or create an email account with the exact same address as the seller’s email) to send fraudulent account information. After the buyer transfers money to the fraudulent account, they will immediately withdraw the money and disappear; Using advantage of carelessness and unprofessionalism of domestic enterprises such as not asking a reputable inspection organization to check the goods before delivery, not verifying information about partner enterprises… to transfer goods with no value, not in accordance with the contract, or to notify the damaged or poor quality goods to pressure the price, deduct the debt or claim compensation …

Some signs of identifying fraudulent businesses which one should pay attention are: the price negotiation, the contract takes place easily, quickly, less bargaining, accepting high prices; Deposit to receive investment money; Do not provide or provide documents of many different legal entities; Opening L/C at a non-reputable bank in a third country; Business license is about to expire …

In order to avoid working with fraudulent partners, businesses need to improve their professional expertise, legal knowledge, and thoroughly understand their partners before making transactions, especially the new partner is dealing for the first time.

The current commodity prices could be updated through market information or on international commodity websites. AES (USA) Wants to Invest in Son My 2 Thermal Power Plant

  AES Energy Company (USA) wants to invest and deploy the project of Son My 2 Gas Hydropower Plant and LNG Port Warehouse in Son My commune, Ham Tan district, Binh Thuan province together with PV Gas Corporation Vietnam (PV Gas).

At the working session with Vietnam Oil and Gas Group (PVN), Mr David Stone - General Director in charge of Vietnam market of AES Energy Company (USA) expressed the wish to be supported by PVN to invest and deploy the project of Son My 2 Gas Hydropower Plant and LNG Port Warehouse in Son My commune, Ham Tan district, Binh Thuan province together with PV Gas Corporation Vietnam (PV Gas).

PVN's Deputy General Director affirmed that PVN is supportive and willing to cooperate with such American investors as AES in the field of oil and gas, especially gas thermal power and port warehouses projects that PVN is calling for investment. PVN also requested AES to work closely with PV Gas and report the results to PVN as soon as possible.

The Son My 2 Gas Hydropower Plant project is one of the 9 gas thermal power projects assigned by the Government to PVN as the investor and the power project under the revised Power Development Master Plan VII.

This project is expected to include 3 Son My plants, which are Son My 2.1, Son My 2.2 and Son My 2.3 with an expected capacity of 750 MW per plant, using imported LNG for power generation and will be located at the Son My Oil, Gas, Industry and Service Complex.

According to the plan, 3 plants under the Son My 2 gas power plant project will be operated in 2023, 2024 and 2025 respectively.

AES operates in the US electricity sector and is on the list of 200 global energy companies, ranked by Fortune Magazine.

AES operates mainly in the field of thermal power and renewable energy  production in 17 countries around the world. The power plants of AES are diversified in power sources including coal-fired thermal power, gas-fired thermal power, thermal gas power, hydro-electric power, wind power and biomass power.

AES now owns an LNG plant in the Dominican Republic with the port that can unload 10,000 m3/h and a 160,000 m3 LNG storage tanks. Moreover, AES is the owner of the LNG project with a 170,000 m3 depot in Panama and has participated in the BOT Mong Duong 2 power plant project.

US Investors Have Poured 1.1 Billion USD into Ho Tram Strip Project

  Asian Coast Development Ltd is one of the large US investor who come and set up company in Vietnam.

Ho Tram Project Company (HTP) is a wholly foreign-owned subsidiary of Asian Coast Development Ltd, with more than 1 billion USD of committed capital deployed, which is the largest US private company investing in Vietnam. Moreover, they are also the first company to register for Vietnamese to play casino.

According to HTP – the investor of the 4-billion-dollar-super-project named “Ho Tram Strip”, the Company has poured 1.1 billion USD in this project and they has just announced to continue to fund the phase 3 includes apartment tower, condotel and villa.

Located on the north side of The Grand Ho Tram Strip resort, the 12-story Kahuna Ho Tram Strip project has a total of 244 rooms. It consists of 164 one or two-bedroom apartments, 9 penthouse apartments and 44 luxury villas located on the beach with area of 218 to 223 square meters.

According to the developer, this project when completed will contribute to the diversification of facilities and realize the goal of turning Ho Tram into the entertainment capital of Vietnam. In addition, HTP has developed the Gallery Villa apartment project at the nearby The Bluffs golf course. The 2nd hotel tower with 559 rooms named “The Beach Club” is now rushing to complete to welcome its first guests in early 2018. Furthermore, other service facilities such as water park, outdoor theater and private international airport are also underway.

It is known that the price of condotel apartment in Ho Tram is from 2 billion VND (equivalent to about 88,800 USD), villa is priced from 8 billion VND (about 350,000 USD). The project was designed by leading architectural firm Korn Architects and is due to commence in quarter 4 of 2017.

UK Company Interested in Vietnam Aviation Market

  NATS (National Air Traffic Solutions), a UK-based aviation solutions provider, has showed its ambition to set up company in Vietnam and enter the Vietnam aviation market. In addition, NATS is interested in Long Thanh Airport.

Jabil Expands Investment in Vietnam

  Jabil Circuit, Inc has just broke ground to build a new factory in Saigon Hi-Tech Park (SHTP), realizing the plan to expand investment in Vietnam.

The event marked the expansion of Jabil Group's operation in Vietnam, with total factory area of 38,369 square meters. The factory is scheduled to be completed by the end of 2017. The new facility will provide additional production and warehousing spaces to meet future large-scale manufacturing activities for products such as computer, storage, networking equipment, telecommunications, automation, digital housing, mobility, sale equipment, printing, industry and energy.

This expansion also marks Jabil’s a decade of development in Vietnam and a stepping stone for the future growth of the Group.

Jabil started operations at SHTP in September 2007, specializing in the manufacture of electronics and telecommunications equipment with an initial investment of only 30 million USD. Many Incentives When Investing in Solar Power Projects

 According to Decision No. 11/2017/QD-TTg, organizations and individuals involved in the development of solar power projects are entitled to investment, tax and land incentives.

Specifically, organizations and individuals involved in the development of solar power projects can legally mobilize capital from domestic and foreign organizations and individuals to invest in the implementation of solar power projects in accordance with the provisions of current law.

Solar power projects are exempted from import duties on imported goods to create fixed assets for the project; complying with the current law on import tax and export tax on goods imported for production of projects which are raw materials, supplies and semi-finished products which cannot be produced at home.

The exemption and reduction of corporate income tax for solar power projects shall be implemented the same as for projects in the field of investment incentives in accordance with current tax law.

On land preference, the Decision stipulating that solar power projects, transmission lines and transformer stations for connecting to electricity grids shall be exempt from or reduce land use fees, land rents and water surface rents in accordance with current law applies to projects in the field of investment incentives.

Based on the planning approved by competent authorities, the provincial people's committees create conditions for arranging land funds for investors to carry out solar power projects. The compensation and support for ground clearance shall be implemented in accordance with the current land legislation.

The decision also specifies that organizations and individuals investing in the construction of solar power projects have the responsibility to install solar power equipment must ensure the safety of structures and work safety in accordance with the current regulations.

The investment in the construction of solar power projects shall comply with the current law provisions on investment, construction, fire prevention and fighting, environmental protection and other relevant regulations.

Japanese Businesses Want to Invest in Solar Power Plant in Thanh Hoa

Quang Nam Province Welcomes Foreign Investors

Education Startup Will Flourish in Vietnam

  Education startup will become great opportunity for foreign investors to invest in Vietnam as well as the Vietnam startup community.

GotIt!, a Startup, a Mobile App which is built on the question – answer foundation for a long time has been presented in the top 10 educational apps on App Store in the US. GotIt! has received 9 million USD from Capricorn Investment Group. Investors of GotIt! are also the people who invest in companies creating products that have changed the world such as Tesla Motor, SpaceX, and PlanetLabs. They believe that GotIt! will become "the next big thing" when GotIt! provides services in the areas beyond education.

One other education startup which is ELSA - teaching English pronunciation, has just passed 1,200 competitors to win first prize at SXSWedu - a competition in education technology startup, organized in the United States. This application uses artificial intelligence technology to help users improve their English pronunciation.

And yet, a different startup which is Monkey Junior, specializing in foreign language teaching has won the competition “GIST Tech-I 2016” held in the US after passing more than 1,000 competitors from 104 countries in the world. This is the startup contest initiated by the US government and received the backing of Mark Zuckerberg – CEO of Facebook - as well as many powerful individuals in Silicon Valley.

Belongs to the EdTech field, which is attracting the attention of Vietnamese startup community, Monkey Junior application is available on App Store, Google Play and Amazon with a large number of users from the US (accounted for 43%), Vietnam ( 10-20%), Canada, France... Although this app aims to teach foreign languages, the point to make up the difference for Monkey Junior is that the teaching contents are directed at children, especially children under 6 years old.

We have to mention one other EdTech which is Code4Startup. Code4Startup is the online training website. Although training on programming is not new, the basic difference of Code4Startup is that it is not theoretical teaching, Code4Startup goes straight into practice by guiding learners to build real applications. Hence, Code4Startup has successfully calling for capital on KickStarter.

The common point of this 4 startups is that the project have high applicability, developing towards EdTech (educational technology) and "father" of them are all Vietnamese: GotIt! Of Dr Tran Viet Hung; Elsa was founded by Van Dinh Hong Vu Ngo Thuy Ngoc Tu; Monkey Junior of Dao Xuan Hoang and Code4Startup of Leo Trieu (Trieu Quang Anh).

Movement for startup towards EdTech (educational technology) are blooming and the fund as well as foreign investors are increasingly appreciating Edtech in Vietnam.

Every year, Vietnamese spent 3-4 billion USD to send their children to study abroad and the market for online education is very potential on a large scale. Vietnam is a country of more than 22 million pupils and students, is the large customer market that many education companies want to explore. On the other hand, the introduction of this community-based projects to apply in reality is very consistent with preference and development trend of modern education, easy to be welcomed by parents and students in Vietnam.

In addition to the potential of the market, international investors believe that the Vietnam startups in general and EdTech startups in particular have been contributed actively to the social advancement, improve community knowledge and update the world’s new trends in Vietnam; while also contributing to the economic development of the country. Similarly, in the world, such EdTech startups as the Knewton, Coursera, Udemy, Duolingo... are the clear proof of this.

The million dollars online training market has been receiving special attention of foreign investors. By the end of 2016, Vietnam had 309 investment projects in the fields of education and training with total registered capital of over 767 million USD.

From the success of Apax English, many cooperation and investment projects in education are increasingly powerful. Next, there will be the project of SK Telecom (under the SK Group, one of the 3 largest Korean group), bringing the school of programming using intelligent robot to Vietnam. It will become the first cooperation in the education sector with Egroup.

With the above positive signals, hopefully that in the coming time, Vietnam education market will continue to receive "new wind" from the funds and foreign investors.

Cargill (USA) Will Build Factory in Bac Ninh

Potential of Vietnam’s Renewable Energy

  Vietnam territory is located in the tropical climate zone with over 3,200 km long coastline. Therefore, there is great potential for renewable energy development. The available renewable energy sources in Vietnam are: solar energy, wind energy, biological energy, hydropower and energy from the sea.

Vietnam has great potential for hydroelectric power, with total theor

etical capacity of about 35 GW, the technical potential is about 26 GW, annually it can produce more than 100 GWh; in which the small hydropower (the installed machine capacity <30 MW) has the potential to produce about 15-20 GWh of electricity.

Until 2013, the total number of projects have been put into operation is 268 projects, with a total installed machine capacity of 14,240.5 MW. As planned, until 2017, there will be 473 projects will be put into operation with a total installed machine capacity of 21,229.3 MW. In addition, according to the Electricity Corporation of Vietnam, the potential of small hydropower has installed machine capacity of about 4,000 MW.

In a report of the World Bank in 2001, the wind energy potential of Vietnam is estimated at 512 GW, much higher compared to other countries such as Thailand, Laos and Cambodia.

Vietnam has great potential for solar energy, particularly in the Central and South of the country, with the average intensity of solar radiation of about 5 kWh/m2. The total theoretical potential of solar energy in Vietnam is estimated at 43.9 billion TOE (TOE – tons of oil equivalent).

With the advantage of being an agricultural country, Vietnam has a large and diverse biomass sources, including wood, firewood, rice husk, rice straw, sugarcane bagasse and other kind of agricultural residues. Annually, Vietnam is estimated to have over 60 million tons of biomass from agricultural waste. The biomass energy sources mentioned above can be used to produce bio-fuel (ethanol), fuel pellet, biogas and various other products.

Vietnam livestock industry is now quite developed, released to the environment annually a large amount of livestock waste in the form of solid and liquid.

According to the statistic data from national environmental status by 2014, the amount of solid waste from livestock in 2013 in Vietnam includes: 18.5 million tons from raising cows, 13.8 million tons from raising buffalo, 18.9 million tons from raising pig, 22.6 million tons from raising poultry. Part of livestock waste in rural area of Vietnam provides raw material for more than half a million active biogas in three regions of the country.

With a population of nearly 90 million people, the annually amount of domestic waste generated due to activities of the population is very huge. Domestic waste after being collected and classified can be recycled, reused and recovered energy from waste incineration or landfills.

TPP Will Create Breakthrough for Vietnam’s Commercial Real Estate Sector

  On October 5th, the TPP agreement has finished negotiation. According to experts, the signing of TPP will expand the opportunity for Vietnam's economy in general and real estate market in particular.

Japan Pouring Capital into Vietnam Real Estate Market

   Vietnam real estate market has seen a growing funds poured into the real estate market through signning partnership agreement with Vietnam partners or direct foreig own investment in setting up company in Vietnam.

Since 2011, Tokyu Corp of Japan has already had cooperation agreements with Becamex IDC Corp to invest USD 1.2 billion to develop the urban area project of 71ha in Binh Duong new city.  Other real estate business as Thanh Dong has also signed cooperation with many Japanese investors to mobilize capital for investment in a range of real estate projects. Accordingly, Thanh Dong is negotiating with a private equity fund in Osaka to cooperate investment in 3 major projects of this company in Hai Duong. Besides, Thanh Dong has also reached agreement with Handa Global (Yokohama) on contributing capital to build a 5 star hotel complex in Nha Trang - Dien Khanh urban area and a sea villa complex in the urban area of trade, tourism and financial services in Nha Trang city center. The total committed value between Thanh Dong and Handa Global reach 200 million USD.

Earlier, Japanese investors are willing to invest in golden lands at Le Duan - Hai Ba Trung (District 1 - HCMC) to construct a building for the Japanese investors which are growing fast in numbers in Vietnam. In addition, Sumitomo Corporation is exploring the investment projects in Thu Thiem commercial and financial center in the area of 20ha.

In the segment of industrial real estate, industrial park in Dong Nai was developed by Donafood Vietnam and three Japanese partners: Sojitz Corporation, Daiwa House Co., Ltd and Kobelco Eco-Solution. With the 88% joint-venture cooperation, the Japanese companies and local partners will invest USD 100 million in this segment.  In HCM City, Vietnam – Japan industrial zone with an investment of USD 31 million has just been inaugurated phase 1.

In particular, the Mekong River Delta (MRD) is a new target of Japanese businesses, not only in the field of real estate but also logistics and seaports. Japanese investors are looking forward to be introduced by Can Tho’s authority agencies the position that they can invest in an industrial zone exclusively for Japanese businesses to invest in tourism, trade and services. It is reported that the Saporo Japan Corporation is also exploring opportunities to cooperate and invest in a golf course and ecological urban area in Can Tho and cooperative investment in some other areas of the group's strengths in some provinces in the MRD.

Commenting about this trend, Japanese investors said that Vietnam's economy continues to have the prospects and potential for development, and Vietnam will become an important destination to attract more business delegations and Japan’s leading investors in the coming years.  The according to Mr. Toshihiko, the chairman of Creed Group said: "This is just the first step in cooperation, if the real estate market of Vietnam developed well, we will pump hundreds of millions of USD to not only An Gia Investment, but also into many other partners". He further said, Vietnam's economy is integrating deeper into the world economy. The Vietnam government is interested to complete the negotiations of TPP agreement, which will open huge opportunities for the economy; attracting major international investors. Besides, Vietnam has young population, mainly concentrated in urban areas however modest housing fund will be huge growth opportunity for the real estate sector. Meanwhile, the law on land of Vietnam is becoming more transparent and open to foreigners to buy houses, create purchasing power and investment opportunities for domestic and foreign enterprises.

Vietnam’s Tourism Real Estate Sector

   According to forecasts, in the next 5-10 years, Vietnam will remain as an attractive destination for foreign investors. In which the tourism real estate sector is preparing to welcome a new wave of investments with large-scale projects.

A report of Capital Partners Group Vietnam shows that in the next 5-10 years, GDP per capita of Hanoi and Ho Chi Minh City will be equivalent to those of some large cities in Southeast Asia. Therefore, beachfront apartments will become the new growth segments.

Mr. Kenneth Atkinson, CEO of Grant Thornton Consulting Group Vietnam claiming that the living standard of people in general are more advanced, the demand for tourism is growing and a lot of foreign investors are heading their attention to resort projects. The demand for hotels, luxury resorts in the long term are remains high, therefore the number of projects in the hotel and resort sectors will continue to increase with more luxury resorts to meet diverse customer demand.

Recently, many localities have also implemented plan and urged local and foreign investors to invest in tourism real estate projects.

For example, recently, Quang Ninh is calling for investors to set-up business and invest in Vietnam for the period from now till 2020, including projects: coastal resorts, tourism, casino...There are some huge projects: Casino and entertainment complex with scale up to 2,000 hectares in Van Don with a total investment of 4-5 billion USD, Phoenix resort projects (Van Don) 250 million USD; Dam Nha Mac Service Industrial Park with 3,170 hectares and 530 million USD…

In Binh Dinh province, Vingroup has built the Hai Giang tourism project, with a total of more than 650 hectares, a total investment of nearly 3,500 billion VND. In 2015, it is expected that Vingroup can supply over 830 seaside villas to the market from three locations: Phu Quoc, Nha Trang and Da Nang.

FLC Group is also preparing to launch the complex project of golf course, resort, villas and high-end entertainment named FLC Nhon Ly in Nhon Ly Commune, Quy Nhon city. The project has a total investment of 3.500 billion VND.

Most recently, M.I.K Company has introduced the Sol House luxury resort project in Phu Quoc. The project is expected to be launched in early 2016, with a total investment of over 40 million USD, including 260 hotel rooms and villas, spa, indoor and outdoor entertainment areas, two restaurants, beach bar...

Mr. Than Thanh Vu, Deputy Chairman of Tourism Real Estate Association also said that recent moves of the Government on reducing the administrative procedures will provide ventilation for the real estate business, real estate market in general and tourism real estate in particular. In the next phase, tourism real estate sector will have a rapid growth.

Furthermore, Mr. Nguyen Nam Son, Executive Director of Capital Partners Vietnam said that: "If in the future, Vietnam can minimize the troublesome administrative procedures, increase Government budget on promoting tourism of Vietnam on international channels, travel trade fairs, open representative offices in foreign countries..., that will help Vietnam tourism industry and tourism real estate sector to grow fast".

"Because investors are lack of information about the policy, project planning therefore they do not know where to invest in, which specific projects, for how long... so the local governments should organize more meetings, dialogues for domestic and foreign investors to exchange with each other and discuss with the leaders of the provinces and thereby make the appropriate investment decisions, "said Mr. Jonathan Tizzard, Department of hotel and resort, Cushman & Wakefield Vietnam.

According to Mr. Jonathan, the coastal localities like Nha Trang, Da Nang, Hai Phong, Binh Thuan, Ninh Thuan will become the most attractive destination in the next 5 years. In particular, the island of Phu Quoc (Kien Giang) has great potential to become a “hot” destination. Phu Quoc is not soon becoming an attractive casino center and tourism in Southeast Asia if the open policy of Government that enterprises can invest in resorts include casino soon to be widely implemented.
